The Government of Tajikistan has adopted a resolution titled “On the distribution of income from the sale of electricity (both domestic and export) generated by the Roghun Hydropower Plant.”
According to the document published on the legal information portal of the Ministry of Justice, the State Committee on Investment and State-owned Property Management (GosKOmInvest) is tasked with implementing the resolution at the general meeting of shareholders of the Open Joint Stock Company (OJSC) NBO Roghun.
It is also instructed to work jointly with relevant ministries and agencies, as well as the supervisory board of OJSC NBO Roghun, to ensure regular implementation of the general shareholders’ decisions of the company.
The issue of distribution of the income distribution from electricity sales and the company’s profit-sharing program was discussed in early March this year at an extraordinary shareholders' meeting.
At the end of February, the government, through another resolution, ordered the opening of a special account called the “Benefit Sharing Fund” for the revenues from electricity generated by the Roghun hydropower plant, within the Main Directorate of the Central Treasury of the Ministry of Finance.
It’s worth noting that the general meeting of shareholders of OJSC NBO Roghun has been held annually since 2011.
Currently, the shareholders of the company, apart from the government of Tajikistan (which owns about 98% of the shares), include individuals and legal entities—all of whom are citizens of Tajikistan.
The campaign to sell shares of OJSC NBO Roghun ran from January 6, 2010, to the end of May 2012. During that period, according to the Ministry of Finance, about 890 million somonis were raised from selling the company’s shares. These funds were used to purchase necessary equipment for the continued construction of the Rogun HPP.
As of the latest data, the charter capital of OJSC NBO Roghun exceeds 40 billion somonis (about US$3.7 billion). In 2008, when construction of the plant resumed and the company was established, the initial charter capital was set at 16 million somonis.
Currently, the first two units of Roghun hydropower plant are operating at partial capacity. It is expected that another hydro unit will be introduced into operation this year.
According to the Ministry of Energy of Tajikistan, the Roghun hydropower plant generated 1.22 billion kilowatt-hours of electricity in 2024, which accounted for about 5.5% of the total electricity production in the country last year (over 22.4 billion kWh).
The plant is currently managed by OJSC NBO Roghun, which is under government control.
It is expected that after full completion, the Rogun hydropower plant will be transferred to the balance of OJSC Barqi Tojik, which manages the country’s state-owned power generation facilities.
The full completion of the Roghun project is expected by 2035. To achieve this, the government needs to secure at least US$6.4 billion in investments.
